Palace Capital has an experienced team of board members, directors and managerial staff. The company focuses on recruiting some of the best individuals from the property and corporate sectors, with specialist interest in new ideas and innovation.
The Board consists of six directors of whom three are executive and three of which are nonexecutive. The Board meets as and when required and is satisfied that it is provided with information in an appropriate form and quality to enable it to discharge its duties. All Directors are required to retire by rotation with one third of the board seeking re-election each year.
Given the Company's size and the nature of its business, the Board does not consider it would be appropriate to have its own internal audit function. An internal audit function will be established as and when the Enlarged Group is of an appropriate size but meanwhile the audit of internal financial controls forms part of the responsibilities of the Enlarged Group's finance function.
The Company has adopted a code based on the Model Code for Directors' Dealings and will take all proper and reasonable steps to ensure compliance by the Board and relevant employees in the future.
